BY-LAWS TO BE READ IN CONJUNCTION WITH RULES
OF GEELONG OBEDIENCE DOG CLUB (INCORPORATED)


BY-LAW NO. 1
 
Annual Subscription and Joining Fee
 
The Annual Subscription and/or Joining Fee shall be determined in accordance with Clause 4 of the Rules and shall be in respect of the financial year 1st July to 30th June of the year immediately following the General meeting at which such determination is made.
 
BY-LAW NO. 2
 
Classification of Members
 
The Membership of the Club shall consist of:
 
a.
Single membership
 
b.
Family membership
 
c.
Dual membership
 
d.
Life membership
 
The Committee shall have the power to appoint any person after a period of 5 years continuous membership as a Life Member of the Club in recognition of services rendered to the Club, however under exceptional circumstances the Committee shall have the power to waive the 5 year period.  Not more than two persons may be appointed as Life Members of the Club in any one financial year.
 
e.
Honorary Member:
 
Any person may be nominated as an Honorary Member, but such nominations shall not exceed two in any one financial year.
 
Definition of Family Membership
 
Any family, covering a husband, wife and all children under the age of eighteen years shall be eligible to hold a Family Membership.
 
Definition of Dual membership
 
Dual Membership covers any two persons residing at the same address.
 
BY-LAW NO. 3
 
Notice of Annual General Meeting
 
Notice of the convening of the Annual General Meeting and the form of Nomination of the Committee of Management shall be deemed to have been notified to all Members by the display of such form of nomination and Notice of Meeting on the Club's notice board in addition to the publication in the Club's newsletter.
 
BY-LAW NO. 4
 
Special General Meetings
 
Where a Special General Meeting is convened on a requisition in writing by Members representing not less than 15% of the total number of members (see Clause 12(2) of Rules) the Members convening such a Meeting must have been financial Members of the Club for not less than 3 months.
 
BY-LAW NO. 5
 
Voting at Meetings
 
All financial members of the Club, other than junior members, shall be entitled to vote on any question arising at a meeting of the Club.  A family membership or a dual membership shall be entitled to two votes provided that both members are present at the said meeting. (Subject to clause 27(2) regarding the Annual General Meeting.)
 
BY-LAW NO. 6
 
Committee of Management
 
The Officers of the Club shall be:
 
a.
A President
 
b.
Two Vice-Presidents
 
c.
A Secretary (who will also be the Public Officer)
 
d.
A Treasurer
 
e.
An Assistant Secretary and Trial Secretary
 
f.
Not more than 6 Ordinary Committee members
 
BY-LAW NO. 7
 
Sub-Committees
 
a.
The Committee or the Members at a General Meeting may at any time and from time to time appoint a Sub-Committee from amongst the Members of the Committee or the Members for such purpose and with authority to exercise such powers and duties as the Committee in its discretion may recommend.
 
b.
The Committee or the members as aforesaid may by resolution remove from office a member of a Sub-Committee and may in like manner appoint another eligible person in his stead.
 
c.
The quorum for a Sub-Committee shall be such number thereof as set out in By-Law No. 8 or as determined by the Committee or Members at the time of its election, who may in like manner appoint a Chairman thereof provided that if a Chairman is not so appointed or is absent or unwilling to act, the Members of the Sub-Committee shall appoint one of their number to be Chairman.
 
d.
Subject to the consent of the members or the committee any such Sub-Committee may co-opt additional members to assist in its duties.
 
e.
Any two Office Bearers of the Club must automatically be exofficio members of all Sub-Committees.
 
BY-LAW NO. 8
 
Quorum
 
The quorum for a meeting shall be:
 
a.
Committee meetings - 3 Office Bearers and not less than half of the Ordinary Committee members.
 
b.
General meeting of members - 15 financial members (refer clause 15(5).)
 
c.
Sub-Committee meeting - 50% of members of the sub-committee.
 
BY-LAW NO. 9
 
Notices
 
Where the rules of the Club denotes that all members must be notified of a Special item or meeting, a notice will be inserted by the Secretary at least seven days prior to such meeting, in the Public Notices section of local newspapers, and in so doing it shall be deemed that all members have been notified of same.
